SECTION I – The name of the organization shall be:
BEYER ATHLETIC BOOSTER CLUB
SECTION II – The principal office of the organization shall be located at 2300 Sylvan Avenue #576093 , Modesto, CA 95355 or; P.O. Box 576093, Modesto, CA 95357
ARTICLE II – PURPOSES
SECTION I – The club is organized exclusively for charitable and educational purposes of athletic events and programs at Fred C. Beyer High School, 1717 Sylvan Avenue, Modesto, Ca 95355 and shall be formed, run, and organized by parents, community members, and staff members to support school athletics.
SECTION II – Upon the winding up and dissolution of club, after paying or adequately providing for the debts and obligations of the club, the remaining assets shall be distributed to a non-profit fund, foundation or corporation which is organized and operated exclusively for charitable, educational or religious and/or scientific purposes and which has established its tax-exempt sta-tus under Section 501 (C) (3) of the Internal Revenue code.
ARTICLE III – MEMBERSHIP
SECTION I – Members: Those eligible for membership shall be any adult interested in helping promote the athletic events and programs at Beyer High School.
SECTION II –A member must attend THREE consecutive meetings.. At the end of the third legal meeting the member will become a “member” with voting rights.
SECTION III – Dues: Dues will be established by the club each year.. Fiscal year July 1, - June 30.
SECTION IV – Earnings: No part of the net earnings of the club shall benefit or be distributed to any of the members, officers or other private persons, except the club shall be empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II, Section I, hereof. Notwithstanding any other provision of these articles, this club shall not except to an insubstantial degree engage in any activities or exercise any powers that are not in furtherance of the purpose of the club.
ARTICLE IV – MEETINGS
SECTION I – General Meetings: The organization shall hold at least one general meeting a month from August to May. The meetings will be held once a month.
SECTION II – Board Meetings: Meetings of the Executive Board shall be held at the discretion of the President and will be called as needed.
SECTION III – Election Meetings: Nominations shall be at the April meeting with the election of officers and executive board members held at the May meeting. If a position is vacated mid term, a special election may be held at the next scheduled board meeting by the Executive Board voting only.
SECTION IV – Budget Meeting: The booster budget shall be discussed at the April meeting and voted on at the May meeting for the upcoming year. The athletic director shall present his request at this meeting. If the athletic director is not able to present a request at this time the board has the choice of meeting in June or postponing until the August meeting.
ARTICLE V- OFFICERS
SECTION I – President: The President shall preside at all meetings, when necessary, and perform all other duties usually pertaining to the office. The President shall be an ex officio member of all committees. The president shall be able to sign checks and withdrawals. This is a two-year term.
SECTION II – Vice President: The Vice-President shall assist the President whenever called up-on to do so and in the absence of the President shall perform the duties of the office. The Vice-President shall record all constitutional amendments and by-law changes, making certain all motions are voted upon and be an ex officio member of all committees. The vice-president shall be able to sign checks and withdrawals. This is a two-year term.
SECTION III – Secretary: The Secretary shall be responsible for keeping record of all business conducted by the club and shall be responsible for correspondence and publications. The secretary shall be able to sign checks and withdrawals. This is a two-year term.
SECTION IV- Treasurer: The Treasurer shall be responsible for keeping all financial records and handling all monies of the club with the Secretary. The Treasurer shall pay all bills authorized by the club. The books must be audited at the end of the Treasurer’s term. This is a two-year term.
SECTION V- Immediate Past-President: The Immediate Past-President shall be a member of the Executive Boards, attend all meetings and serve as a voting member. This is a one-year term.
SECTION VI- Fundraising Chairperson: The Fundraising Chairperson shall be responsible for purchasing, scheduling, coordinating fundraising opportunities for Boosters. This includes but is not limited to: Snack bar(s) at Varsity games, annual crab feed, fireworks booth, ect. This person will be an authorized user for accounts in regards to purchasing. This is a one-year term.
SECTION VII – Committees: The Committee Chairpersons will be voting members and will be selected on an as needed basis.
SECTION VIII – Vacancies; Vacancies in any office shall be filled by nomination and selection by the Executive Board. The newly elected board member shall serve until next election for such office as prescribed in Article IV, Section III.
SECTION IX- Executive Board: All business of the club shall be administered by the Executive Board with a report to the general membership. The Executive Board shall consist of the elected officers.
ARTICLE VI – ELECTIONS
SECTION I – Election meetings shall be held as prescribed in Article IV, Section III. Each member in good standing shall be eligible to vote. Ballots shall be distributed by an election committee appointed by the President. The Ballots shall be printed and names of the candidates listed in alphabetical order and spaces shall be provided on the ballot for nominees nominated on the night of the election.
SECTION II – Eligibility: All candidates shall be ‘active’ members (Article III, Section II). The President, Vice-President, Secretary, Treasurer shall serve no more than two consecutive terms in the same office, unless voted on prior to elections by the membership to extend a term.
SECTION III – Term: The term of office shall be two years. July 1 to June 30.
ARTICLE VII – PARLIAMENTARY PROCEDURE
SECTION I – The rules contained in “Roberts Rules of Order, Revised” shall govern this club in all cases to which they are applicable in which they are not inconsistent with the Constitution and By-Laws. Beyer Athletic Boosters will maintain operations in accordance with Modesto City Schools AR 1230 and the FCMAT (Fiscal Crisis & Management Assistance Team) guidelines.
ARTICLE VIII – QUORUM
SECTION I – One half of the active membership shall constitute a quorum for the transaction of business at any meeting of the club. To facilitate quorum requirements the group shall be divided into two groups, Active and inactive, with only those members on the ‘active’ list having voting privileges. “Inactive” members may regain voting rights by attending two consecutive regular meetings thereby becoming ‘active’ members again. Actual voting may not occur until the beginning of the third consecutive meeting. Members who miss three consecutive regular meetings will automatically become “inactive”.
ARTICLE IX – AMENDMENTS
SECTION I – Procedure: These By-Laws and constitution may be amended by two-thirds (2/3) vote of the active membership.
